Re: All Together Now Day of Giving for Camp NBB - Confidentiality Agreement
THIS AGREEMENT (“Agreement”) is entered into as of this 5th day of May, 2024, by
All Volunteers and/or staff for the Day of Giving All Together Now Campaign taking place on May 5-9, 2024 (“Staff or Volunteer”) in favour of Jewish Camp Council of Toronto (the “Corporation” operating as Camp Northland (‘NBB”)).
WHEREAS the Staff or Volunteer is involved with the Corporation’s office, documents, materials and/or files (each and collectively, the “Information”), Staff or Volunteer will have access to non-public personal, proprietary and otherwise confidential information (collectively, “Confidential Information”) in the course of Staff or Volunteer’s term (lead up, the actual day of giving and the follow-up as may be required from time to time) to the Corporation, its clients, its campers (and their parents/guardians), its employees, its business contacts or others, whether or not the information is recorded in some way;
WHEREAS Corporation wishes to protect its Confidential Information against any unauthorized use and any unauthorized or uncontrolled disclosure;
NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is acknowledged, Staff or Volunteer agrees as follows:
Staff or Volunteer shall maintain the confidentiality of Confidential Information and, as a staff or volunteer of the Corporation, to abide by the Corporation’s confidentiality guidelines at all times.
Staff or Volunteer shall not disclose or allow the disclosure of any Confidential Information, data or material to which it is exposed, irrespective of whether such information is transmitted to Staff or Volunteer verbally or in writing or otherwise, except as may be required by (i) law, or (ii) the duties of Staff or Volunteer’s position in his or her role and only if such disclosure is necessary and reasonably proper for discharge of the Staff or Volunteer’s functions for the Corporation.
Staff or Volunteer will closely protect Confidential Information to prevent it from being inappropriately accessed, used or disclosed either directly, or by virtue of a password to systems, or by breaches in physical security.
If Staff or Volunteer becomes aware of any violation of confidentiality, or loses any record containing Confidential Information or any key or other item that could be used to violate confidentiality, Staff or Volunteer will notify the Camp Director at the first reasonable opportunity.
Staff or Volunteer shall dispose of any and all written material in such a manner as to prevent its loss or inappropriate disclosure to third parties.
Upon Staff or Volunteer ceasing to be a staff or volunteer of the Corporation for any reason, Staff or Volunteer shall return all confidential material previously made available to them and destroy any copies thereof, unless the Corporation directs the Staff or Volunteer otherwise.
Staff or Volunteer acknowledges and agrees that (i) a breach of confidentiality shall be cause for termination and the Corporation shall be entitled to injunctive relief and/or a decree for specific performance, and such other relief as may be proper (including monetary damages if appropriate), and (ii) its obligations under this Agreement shall survive the termination of any other relationship between Staff or Volunteer and the Corporation.
Any volunteer or staff member participating in this event is agreeing to this Agreement and related Confidentiality Guidelines and acknowledges and agrees to be bound by these terms, conditions and expectations.

- Use or disclosure of confidential information relating to the Corporation or which will or might have an effect on the Corporation will be for the purpose of the Corporation only and not for personal use or benefit, the use of third parties, any other improper use or for any purpose which does not relate to the Corporation.
- All information relating to the Corporation, its clients/customers, its campers (and their parents/guardians), its directors/officers, its employees or Staff or Volunteers and other representative (or which will or might have an effect on the Corporation, its clients/customers, directors/officers, employees or Staff or Volunteers and other representatives) is to be considered confidential, unless the information is in the “public domain” or is otherwise patently non- confidential. Information which particularly requires to be kept confidential includes, but is not limited to, financial data (budgets, donations, grants, expenses, use of funds, fees paid by parents, etc.), employee/staff records/information, client/customer information, program planning.
- To preserve confidentiality, the disclosure of information should be limited to those who have a need to know.
- If required by law or contract to disclose information, disclose only that information which you are obligated to disclose.
- The responsibility to keep information confidential continues after a person volunteers or works for the Corporation.
- All material relating to the Corporation should be maintained in a confidential and safe manner. This includes material kept out of the Corporation’s own offices (e.g., at a Staff or Volunteer’s home) and electronic data. Records that have been kept for the required periods and that are no longer needed must be disposed of by the Corporation in an appropriate manner.
- Any formal public statements or any disclosure of confidential information as set out above must be approved in advance by the Camp Director. Any press inquiries should be referred to the Camp Director.
- Avoid information “leaks” and discussing the Corporation’s affairs when in any other setting whether private or public. Be aware that indiscretions can occur innocently and inadvertently.
- Be aware of your own role in the Corporation and the internal structure of the Corporation.
- IN ALL SITUATIONS USE GOOD JUDGEMENT AND COMMON SENSE.
